What Sada provides
Sada is cloud practice-management software for dental clinics: patient records and charting, scheduling across one or several branches, treatment plans, billing and payments, inventory and reporting — together with patient messaging on WhatsApp, which depending on your plan and settings includes appointment reminders, follow-ups and an AI receptionist that can answer and book.
We provide the service on a subscription basis. Features evolve; we may add, change or retire parts of the service, and we will give reasonable notice before removing something you materially rely on.
Accounts and access
- You must give accurate registration details and keep them current.
- Each person who uses Sada needs their own login. Shared logins defeat the audit trail and the permission system, and make it impossible to tell who changed a record.
- You are responsible for what happens under your accounts, for keeping passwords confidential, and for removing access promptly when someone leaves.
- Tell us immediately at hello@sadaclinic.com if you suspect an account has been compromised.
- Your plan may limit the number of staff logins, branches or other resources. We will tell you when a limit applies.
What you are responsible for
- Having the right to hold the data you put in. You confirm you have a lawful basis to store patient records and to contact those patients.
- The accuracy of what you enter — prices, medical alerts, appointment times, balances. Sada reproduces what you record.
- Your own legal duties as a healthcare provider: record retention, professional confidentiality, consent, and any licensing rules where you practise.
- Telling your patients that their records are held in Sada and that they may receive WhatsApp messages from your clinic.
WhatsApp and patient messaging
Messaging runs on the WhatsApp Business Platform, operated by Meta, and is subject to Meta's terms and policies as well as this agreement. That has practical consequences you should understand before you rely on it:
- You need consent to message patients. Sending unwanted messages gets numbers rated poorly, restricted or blocked by Meta — and that is a decision Meta makes, not us.
- Opt-outs are honoured automatically. When a patient replies STOP, Sada stops sending them automated messages. You must not work around this.
- Delivery is not guaranteed. Messages depend on Meta's platform, the patient's phone and network, and WhatsApp's own rules about when a business may message someone. A reminder is a courtesy, not a guarantee that a patient was informed.
- Meta may charge for certain messages. Where message fees apply to your account, they are as described in your plan or invoice.
- If Meta suspends or restricts your number or account, we will help where we can, but we cannot overrule it.
Clinical responsibility
Sada is administrative software, not a medical device, and it does not practise dentistry. It does not diagnose, does not recommend treatment, and must not be relied on for clinical decisions.
The AI receptionist is built to refuse clinical questions — dosage, whether to take or stop a medication, whether a symptom is serious — and to hand them to your team. Clinical judgement remains entirely yours.
You are responsible for reviewing what the assistant does on your behalf. It books, reschedules, cancels and answers routine questions within the rules you configure; you should monitor your inbox and calendar as you would with a human receptionist.
Your data
- Your data stays yours. We claim no ownership of your clinic's records, patient data, files or conversations.
- We process it to provide the service, as described in our Privacy Policy and, where it applies, the Data Processing Addendum.
- We may use aggregated, de-identified statistics (for example, how often a feature is used) to improve Sada. This never includes patient-identifying information and is never sold.
- You can ask for a copy of your data at any time, during the agreement or when it ends. Today this is handled by our team rather than a self-service button.
Fees, trials and billing
- You pay the plan, price and billing period agreed when you subscribe and shown on your invoices.
- Free trials run for the period stated at sign-up. When a trial ends without a subscription, the account becomes read-only rather than being deleted — your data stays until you ask us to remove it.
- Invoices are due on the date shown. If payment is late we will chase it and may, after reasonable notice, suspend the account. We do not delete data for non-payment without telling you first.
- Fees exclude any taxes or bank charges that apply to you.
- We may change prices with at least 30 days' notice before your next billing period.
Availability and support
We aim to keep Sada available at all times and we monitor it, but we do not offer a contractual uptime guarantee today, and we would rather say so than promise a number we have not committed to operationally. Planned maintenance is scheduled outside clinic hours where possible.
Support is provided by email and WhatsApp during business hours in Lebanon. Faults that stop a clinic working take priority over everything else.
The service depends on third parties — hosting, WhatsApp, AI providers. An outage at one of them can interrupt Sada, and those interruptions are outside our control.
Acceptable use
You agree not to:
- use Sada to send spam, marketing without consent, or anything unlawful, deceptive or harassing;
- upload malware, or attempt to break, probe or overload the service or reach another clinic's data;
- resell or white-label Sada, or give access to anyone outside your practice, without our written agreement;
- reverse-engineer the software, except where the law expressly allows it;
- use the service to store data unrelated to running your practice.
We may suspend an account immediately where use of it threatens the security of the platform, other clinics, or patients.
Intellectual property
Sada — the software, design, brand and documentation — belongs to Digital Echoes. Your subscription grants you a non-exclusive, non-transferable right to use it while the agreement is in force. Feedback you send us may be used to improve the product without obligation to you, and does not affect your ownership of your own data.
Liability
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
Subject to that: the service is provided as-is, without implied warranties; neither side is liable for indirect or consequential loss, including lost profits, lost patients or reputational harm; and our total liability in any 12-month period is limited to the fees you paid us in that period.
In particular, we are not liable for consequences of a message that was delayed, undelivered or blocked by WhatsApp, or of a clinical decision made using information in the system.
Ending the agreement
- You may cancel at any time, effective at the end of your current billing period. We do not refund the period already paid unless we have failed to provide the service.
- We may terminate for material breach that is not fixed within 30 days of written notice, or immediately for serious misuse under Acceptable use.
- After termination, ask us for a copy of your data and we will provide it. We delete your data on request and in any case within 90 days of closure, except anything we must keep by law. Backups roll off within 30 days.
Changes and governing law
We may update these terms; material changes are notified to clinic administrators before they take effect, and continuing to use Sada after that means you accept them. The date at the top reflects the current version.
This agreement is governed by the laws of Lebanon, and the courts of Beirut have jurisdiction, except that either side may seek urgent injunctive relief wherever necessary.
Sada is operated by Digital Echoes, Lebanon.
